Introduction and Acceptance of Terms

Welcome to Phloe! These Terms of Service ("Terms") govern your access to and use of the Phloe mobile application ("App") provided by Phloe Inc. ("we," "us," or "our"). By downloading, installing, or using Phloe, you agree to be bound by these Terms.

If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. If you do not agree to these Terms, please do not use the App.

Description of Service

Phloe is an educational mobile application designed to help high school and college students (ages 14-24) learn science subjects including Biology, Chemistry, and Physics through interactive questions, spaced repetition, and gamification mechanics.

License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Phloe App on a device that you own or control for your personal, non-commercial educational purposes.

You May Not:

1. Copy, modify, distribute, sell, or lease any part of the App

2. Reverse engineer, decompile, or attempt to extract the source code of the App

3. Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)

4. Use the App for any commercial purpose without our written permission

5. Access the App using automated means (bots, scrapers, etc.)

6. Violate any applicable laws or regulations while using the App

User Accounts and Registration

To access certain features of Phloe, you may need to create an account. You agree to:

1. Provide accurate, current, and complete information during registration

2. Maintain and promptly update your account information

3. Keep your login credentials confidential and secure

4. Notify us immediately of any unauthorized use of your account

5. Accept responsibility for all activities that occur under your account

Age Requirements and Parental Consent

Phloe is intended for users ages 14 and older. If you are under 18, you must have permission from your parent or legal guardian to use the App.

For users under 13: We do not knowingly collect personal information from children under 13 years of age. If we discover that we have inadvertently collected such information, we will delete it immediately.

Acceptable Use Policy

When using Phloe, you agree to:

1. Use the App only for lawful educational purposes

2. Respect other users and refrain from harassment or abusive behavior

3. Not share inappropriate, offensive, or harmful content

4. Not attempt to circumvent any security measures or access restrictions

5. Not interfere with or disrupt the App's functionality or servers

6. Not impersonate any person or entity

User-Generated Content

Phloe may allow you to submit feedback, questions, or other content. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the App.

You represent that any content you submit:

1. Is accurate and not misleading

2. Does not violate any third-party rights (intellectual property, privacy, etc.)

3. Does not contain viruses, malware, or harmful code

4. Complies with applicable laws and these Terms

Intellectual Property Rights

All content, features, functionality, designs, graphics, logos, trademarks, and software in the Phloe App are owned by Phloe Inc. or our licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You acknowledge that you acquire no ownership rights by using the App. All rights not expressly granted to you are reserved by Phloe Inc.

Subscription and Payment Terms

Phloe may offer both free and premium subscription features. If you purchase a subscription:

1. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period

2. Payment will be charged to your Apple App Store account at confirmation of purchase

3. You can manage or cancel subscriptions in your App Store account settings

4. No refunds will be provided for unused portions of a subscription period

5. Subscription prices are subject to change with 30 days' notice

All payments are processed through Apple's App Store and are subject to Apple's terms and conditions.

Educational Disclaimer

Phloe is designed as a supplementary educational tool. While we strive for accuracy:

1. The App is not a substitute for formal education or professional instruction

2. Content is provided for general educational purposes only

3. We do not guarantee specific learning outcomes or academic performance

4. Users should verify important information through additional authoritative sources

Privacy and Data Collection

Your privacy is important to us. Please review our Privacy Policy (below) to understand how we collect, use, and protect your information. By using Phloe, you consent to our data practices as described in the Privacy Policy.

Third-Party Services and Links

Phloe may integrate with or link to third-party services, including AI systems, analytics platforms, and educational resources. We are not responsible for:

1. The availability, content, or practices of third-party services

2. Any data you provide directly to third parties

3. Third-party terms of service or privacy policies

AI Services Disclosure: Phloe may use third-party artificial intelligence services to enhance learning experiences. When AI is used to process or personalize content, we will disclose this to you and obtain your explicit consent before sharing any personal data with these services.

Disclaimers and Warranties

THE PHLOE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

1. Warranties of merchantability or fitness for a particular purpose

2. Warranties of non-infringement

3. Warranties regarding accuracy, reliability, or availability

4. Warranties that the App will be uninterrupted, secure, or error-free

Your use of the App is at your own risk. We do not warrant that the App will meet your requirements or that any errors will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHLOE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

1. Any indirect, incidental, special, consequential, or punitive damages

2. Loss of profits, data, use, goodwill, or other intangible losses

3. Damages resulting from your use or inability to use the App

4. Unauthorized access to or alteration of your data

5. Any third-party conduct or content on the App

Our total liability for any claim arising from your use of Phloe shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Phloe Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

1. Your violation of these Terms

2. Your violation of any rights of another party

3. Your misuse of the App

4. Any content you submit to the App

Account Termination and Suspension

We reserve the right to suspend or terminate your account and access to Phloe at any time, with or without notice, for:

1. Violation of these Terms

2. Fraudulent, abusive, or illegal activity

3. Extended periods of inactivity

4. Technical or security reasons

You may delete your account at any time through the App settings. Upon termination, your right to use the App immediately ceases, and we may delete your data in accordance with our Privacy Policy.

Account Deletion: As required by Apple App Store guidelines, users can request full account deletion, including all associated personal data, through the App settings or by contacting us at phloeorg@gmail.com.

Modifications to Terms

We may modify these Terms at any time by posting the revised version in the App or on our website. Material changes will be notified to you via email or in-app notification at least 30 days before the effective date.

Your continued use of Phloe after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the App and delete your account.

Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of Phloe shall be resolved through:

1. Informal Negotiation: Contact us at phloeorg@gmail.com to attempt resolution

2. Binding Arbitration: If negotiation fails, disputes will be resolved through binding arbitration under the American Arbitration Association rules, conducted in San Mateo County, California

3. Small Claims Court: Either party may bring an individual action in small claims court

Class Action Waiver: You agree to resolve disputes only on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
